Welcome to P4 Customs. These Terms of Service ("Terms") govern your access to and use of P4 Customs software, services, and website (collectively, the "Service") provided by P4 Software, a division of Grupo Barrdega ("Company," "we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

By creating an account, accessing our website, or using any P4 Customs service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other legal notices published by us on the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, "you" and "your" will refer to that entity.

P4 Customs provides cloud-based customs management software designed to streamline customs operations, bonded warehouse management, compliance tracking, and international trade documentation. Our Service includes:

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must:

  • Use a strong, unique password
  • Not share your account credentials with anyone
  • Notify us immediately of any unauthorized access or security breach
  • Log out from your account at the end of each session

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

5. Acceptable Use Policy

You agree not to use the Service to:

6. Intellectual Property Rights

6.1 Our Rights

The Service and its original content, features, and functionality are owned by P4 Software and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes.

6.3 Your Content

You retain all rights to the data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a license to use, store, process, and display Your Content solely for the purpose of providing the Service to you.

7. Payment Terms

7.1 Subscription Fees

Access to P4 Customs requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, as selected during registration.

7.2 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Price changes will apply to subsequent billing periods.

7.3 Refunds

Subscription fees are generally non-refundable except as required by law or as explicitly stated in your service agreement.

7.4 Late Payments

If payment is not received by the due date, we may suspend or terminate your access to the Service until payment is made.

8. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. We are committed to GDPR compliance and protecting your data security.

We implement industry-standard security measures to protect your data, including:

9. Service Availability

While we strive for 99.9% uptime, we cannot guarantee that the Service will be available at all times. The Service may be unavailable during:

  • Internet service provider outages

We are not liable for any loss or damage resulting from Service unavailability.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results obtained from the Service will be accurate or reliable

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL P4 SOFTWARE, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless P4 Software, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from:

  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of the Service
  • Your Content uploaded to the Service

13. Termination

13.1 By You

You may terminate your account at any time by contacting customer support or through your account settings. Termination does not entitle you to a refund of prepaid fees.

13.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. You may request an export of Your Content within 30 days of termination. After 30 days, we may delete Your Content from our systems.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on our website at least 30 days before the effective date.

Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation, if negotiation fails
  3. Binding arbitration in Panama City, Panama, if mediation fails

16. Miscellaneous

16.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.4 Entire Agreement

These Terms, together with the Privacy Policy and any service-specific agreements, constitute the entire agreement between you and P4 Software regarding the Service.
